Fizzle and Tadad, thanks for your advise.
I'll take the chance, since my feelings with the flowers and "bye-bye" are exactly like yours...

So all I need to do is:
1. Upload the f/w from the player to my PC (using s1fwx)
2. 'repair' the uploaded file (using S1res)
3. Change bitmaps and text per the description in the Knowledge Base section of this excellent site.

(I repeat this, as I'm a bit nervous after all these people who ended up with dead devices....)

questions- In the code I downloaded I see a line: radio/fm support = no
what will happen if I change it to 'yes', but the h/w doesn't have the Philips chip? Will the unit die? I don't want to open it and look for the chip.

I ask this, as the manual I got includes a description of the radio function (in very poor English, btw). I also saw a few Players, looking 100% the same as my unit, but with the Radio operational.
My f/w starts with:
$g
connect to device 'G:\'...
init device...
set device to f-mode...
get info from device...
ic version = 0x0001
storage info = 0x0202, 0x0000, 0x0000, 0x0000
device = 'S1 Mp3 Player'
manufacturer = 'Wilson Co. Ltd.'
bootflash type = 'F644'
brom version = 3.0.00
firmware version = 3.5.35
read boot record...
detect firmware size....
firmware size = 0x005C0400
read flash............................................. .........................
Anyone who came along with this?

Thanks in advance for all your usefull inputs.

Shimon
