Hi:
1) The mini disk should actually work fine in a normal cd drive, as long as you position it in the middle of the tray (in the circular indent), but the mp3 utilities on this site should work similiarly to the ones on the disk.
2) It's probably not dead, just needs to be recharged. If you've got a red and green light on the charger that's usually a good sign (at least on mine it was)

As for the headphones, I'd say don't bother, just upgrade. The headphones are generally pretty bad, but then again, the adapter is pretty cheap.
